Current operating status

FRED IQ is currently provided under the FRED IQ service name. These Terms are between you and the operator of the FRED IQ service (the “Operator”), reachable at hello@frediq.xyz. No separate incorporated operating entity or individual is identified as the contracting party in these Terms at this time. If a legal operating entity is later designated, these Terms may be updated to identify it.

Plain-English snapshot

  • Use FRED IQ for lawful business prospecting and opportunity research — not personal surveillance, consumer screening, spam, harassment, or high-impact eligibility decisions.
  • FRED IQ does research and prioritization. You remain responsible for reviewing results, deciding whom to contact, and complying with outreach, privacy, anti-spam, telemarketing, and industry rules.
  • AI and public-source research can be wrong or stale. A source or confidence label is evidence, not a guarantee.
  • Customer data stays subject to access controls; do not try to access another customer's workspace, provider credentials, prompts, models, or internal systems.
  • Private-beta features may change. Paid plan, credit, and order terms shown at purchase or in a separate order control if they conflict with these general Terms.

1. Agreement to these Terms

By accessing or using frediq.xyz, the FRED IQ application, a private-beta workspace, or related services (collectively, the “Service”), you agree to these Terms of Service (“Terms”). If you use the Service for an organization, you represent that you have authority to bind that organization, and “you” includes that organization.

If you do not agree to these Terms, do not use the Service. A separate pilot agreement, order form, data-processing addendum, or enterprise agreement may add to or modify these Terms. If a signed agreement conflicts with these Terms, the signed agreement controls for that customer.

2. Eligibility and business use

You must be at least 18 years old and legally able to enter into a binding agreement. The Service is intended for legitimate business and professional use. You may not use FRED IQ as a consumer background-checking service, a consumer-reporting service, or for decisions about employment, credit, housing, insurance, education, or other high-impact eligibility matters.

You are responsible for ensuring that your use of the Service, your instructions to FRED IQ, and your subsequent outreach comply with laws and rules that apply to you, your industry, and the people or businesses you contact.

3. Accounts, Google Sign-In, and organization access

You must provide accurate account information and keep access credentials secure. If you use Google Sign-In, you authorize FRED IQ to receive the identity information and permissions shown on Google’s consent screen for the purposes described in the Privacy Policy. FRED IQ does not receive your Google password.

An organization administrator may invite users, assign roles, manage access, and view organization activity consistent with the Service. You may access only workspaces, records, and administrative functions for which you are authorized. You are responsible for activity performed through your account unless you promptly report unauthorized access.

4. The Service and private-beta status

FRED IQ is an AI-assisted B2B opportunity-intelligence and prospecting-research service. It may help a customer understand its business, research accounts, evaluate why a company may be relevant now, identify a small set of professional decision-makers, preserve source evidence, and deliver a Find that passes automated evidence and quality controls. Human review may be used where appropriate.

During private beta or evaluation, features may be incomplete, changed, renamed, limited, paused, or removed. We may impose usage limits, review gates, provider budgets, or other controls to protect data quality, cost, security, and product integrity. Beta access does not guarantee future availability, pricing, functionality, or service levels.

5. Your responsibilities

  • provide lawful, accurate business inputs and only information you have the right to provide;
  • review material FRED IQ outputs before acting on them, especially identity, employment, contact information, timing, and source claims;
  • use professional contact information only for legitimate business purposes and in compliance with applicable privacy, direct-marketing, anti-spam, telemarketing, and electronic-communications laws;
  • honor opt-outs, suppression requests, do-not-contact requests, and other applicable rights;
  • maintain appropriate internal permissions for users and administrators in your organization; and
  • promptly notify us of suspected account compromise, security defects, or material data errors.

6. Prohibited uses

You may not use or attempt to use FRED IQ to:

  • stalk, harass, threaten, intimidate, dox, or conduct personal surveillance of an individual;
  • profile or target minors, or intentionally collect sensitive personal traits unrelated to legitimate B2B research;
  • make or assist decisions about employment, credit, lending, housing, insurance, education, healthcare eligibility, or other high-impact rights or benefits;
  • discriminate unlawfully or target people based on protected or sensitive characteristics;
  • send unlawful spam, robocalls, bulk unsolicited messages, deceptive outreach, phishing, or impersonation;
  • access private data, accounts, systems, paywalled content, or credentials without authorization, or bypass technical access controls;
  • upload malware, exploit vulnerabilities, disrupt the Service, evade usage limits, probe other tenants, or attempt to obtain another customer's data;
  • extract or disclose provider credentials, encryption material, system prompts, hidden model instructions, proprietary source code, or non-public internal architecture through abuse of the Service;
  • scrape or harvest the Service itself to create or resell a stand-alone contact database, competing dataset, model, or service;
  • misrepresent FRED IQ output as independently verified when it is marked unknown, estimated, stale, incomplete, or otherwise qualified;
  • use the Service in violation of sanctions, export restrictions, intellectual-property rights, privacy rights, or other applicable law; or
  • help another person do any of the above.

We may investigate suspected misuse and suspend or terminate access when reasonably necessary to protect users, third parties, data, providers, or the Service.

7. Customer data and instructions

As between you and FRED IQ, you retain your rights in information you submit to the Service (“Customer Data”). You grant the Operator a limited right to host, copy, process, transmit, display, and otherwise use Customer Data as needed to provide, secure, support, and improve the Service for you, comply with law, and enforce these Terms.

You represent that you have the rights and lawful basis needed to provide Customer Data and instruct us to process it. Do not submit information that FRED IQ does not need, especially sensitive personal information, trade secrets of third parties, regulated data, or credentials, unless the Service and your agreement expressly support that data type.

8. Professional business data and public-source research

FRED IQ may collect and analyze public, licensed, customer-provided, and independently verified professional business information about companies and people who have not created FRED IQ accounts. The Service may return names, titles, employers, current-employment evidence, professional contact routes, source URLs, and business-relevance analysis.

A person’s presence in a Find or Decision Pod does not mean that person has endorsed FRED IQ, consented to receive your message, or is guaranteed to be the right contact. You are responsible for determining whether and how to contact a person and for honoring applicable rights and opt-outs.

Certain independently sourced, verified business facts may be reused across customer work to avoid duplicate verification. This does not give one customer access to another customer’s confidential lists, strategy, private notes, feedback, or usage.

9. AI output, evidence, and accuracy

Research assistance, not ground truth

FRED IQ may rank, infer, summarize, or recommend using AI. Even source-backed output can be stale, incomplete, ambiguous, or wrong. “Verified” describes the verification evidence available to the Service; it does not guarantee future accuracy or business outcomes.

You should independently review important facts before sending outreach, making commitments, spending money, or relying on a recommendation. FRED IQ does not guarantee that a company will buy, that a person will respond, that contact information will remain valid, or that a timing signal will produce a meeting or sale.

FRED IQ may preserve uncertainty rather than fabricate an answer. An unknown, paused, watch, or incomplete result is not a defect merely because it is less convenient than a guessed answer.

10. Customer review and outbound communications

The Service is designed to support human judgment. In the current private-beta model, FRED IQ does not authorize the Operator to autonomously send sales messages, place calls, or contact prospects on your behalf. You decide whether to use a contact and whether to communicate with that person.

If an outbound or communications feature is offered in the future, it may be subject to separate enablement, permissions, disclosures, usage controls, or supplemental terms. Nothing in these Terms gives FRED IQ blanket authority to contact third parties for you.

11. Third-party services and integrations

The Service may rely on third-party hosting, authentication, AI, web-research, professional contact-verification, payment, analytics, or other providers. Their services may have separate terms and privacy policies. We are not responsible for a third party’s independent service, outage, or policy, but we will use third-party services only as reasonably necessary to provide and protect FRED IQ.

Google Sign-In and Google API data are also subject to Google’s applicable terms and policies. Your authorization may be revoked through Google or the Service where supported.

12. Fees, plans, credits, and usage limits

If paid plans are offered, the price, billing cycle, included usage, credit allowance, overage rules, trial terms, renewal, and cancellation terms presented at purchase or in an order form are part of your agreement. Unless an order says otherwise, taxes are additional where required.

FRED IQ credits are service entitlements used to measure or gate product usage; they are not money, stored value, securities, or transferable property. Credits may have expiration, replacement, refund, or non-refund rules described in the applicable plan. We will not intentionally double-charge a credit for the same qualifying delivery, but you must report suspected billing errors promptly.

Private-beta accounts may receive free or promotional credits. Promotional access may be limited, changed, or ended at any time unless a written agreement says otherwise.

13. FRED IQ intellectual property

The Service, software, user experience, designs, Fred/FRED IQ branding, models and model orchestration, prompts, methods, workflows, ranking logic, documentation, and other proprietary materials are owned by or licensed to the Operator and are protected by applicable intellectual-property law. Except for the limited right to use the Service under these Terms, no rights are granted by implication.

You may use research outputs generated for your organization for your internal business and sales activities, subject to these Terms, applicable law, and third-party rights. You may not copy the Service itself, remove proprietary notices, reverse engineer protected components except where law expressly permits, or use outputs to reconstruct a competing proprietary system.

14. Feedback

If you provide product ideas, suggestions, corrections, or feedback, you grant the Operator a worldwide, perpetual, irrevocable, royalty-free right to use that feedback to improve FRED IQ without obligation to compensate you. This does not transfer ownership of your Customer Data or confidential business information.

15. Confidentiality and security

Each party should use reasonable care to protect non-public confidential information received from the other and use it only for the relationship contemplated by the Service. Confidentiality does not apply to information that is public through no breach, already lawfully known, independently developed, or lawfully received from another source.

You may not perform security testing, penetration testing, vulnerability scanning, load testing, or model/prompt extraction against production systems without prior written authorization. Responsible security reports may be sent to hello@frediq.xyz. We may provide additional reporting instructions as the Service matures.

16. Suspension and termination

You may stop using the Service at any time. We may suspend or terminate access for material breach, suspected fraud or abuse, security risk, legal requirement, nonpayment, provider restriction, or conduct that threatens the Service or third parties. Where reasonable, we will try to give notice and an opportunity to cure before termination, but immediate action may be necessary for security, illegal conduct, or serious abuse.

After termination, your right to use the Service ends. Sections that by their nature should survive — including payment obligations, intellectual property, confidentiality, disclaimers, limitations of liability, dispute terms, and rights needed to preserve lawful audit/security records — will survive.

17. Disclaimers

TO THE MAXIMUM EXTENT PERMITTED BY LAW, THE SERVICE IS PROVIDED “AS IS” AND “AS AVAILABLE.” THE OPERATOR DISCLAIMS IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, NON-INFRINGEMENT, AND ANY WARRANTY ARISING FROM COURSE OF DEALING OR USAGE OF TRADE.

WE DO NOT WARRANT THAT THE SERVICE WILL BE UNINTERRUPTED OR ERROR-FREE, THAT EVERY SOURCE WILL REMAIN AVAILABLE, THAT AI OUTPUT WILL BE ACCURATE, THAT CONTACT INFORMATION WILL BE CURRENT, OR THAT USE OF FRED IQ WILL PRODUCE ANY PARTICULAR NUMBER OF LEADS, MEETINGS, REVENUE, OR OTHER BUSINESS RESULT.

18. Limitation of liability

TO THE MAXIMUM EXTENT PERMITTED BY LAW, THE OPERATOR WILL NOT BE LIABLE FOR INDIRECT, INCIDENTAL, SPECIAL, EXEMPLARY, CONSEQUENTIAL, OR PUNITIVE DAMAGES, OR FOR LOST PROFITS, LOST REVENUE, LOST BUSINESS OPPORTUNITIES, LOSS OF GOODWILL, OR LOSS OF DATA ARISING FROM OR RELATED TO THE SERVICE, EVEN IF ADVISED OF THE POSSIBILITY.

TO THE MAXIMUM EXTENT PERMITTED BY LAW, THE OPERATOR’S TOTAL AGGREGATE LIABILITY ARISING FROM OR RELATED TO THE SERVICE WILL NOT EXCEED THE GREATER OF (A) US $100 OR (B) THE AMOUNTS YOU PAID FOR THE SERVICE DURING THE 12 MONTHS BEFORE THE EVENT GIVING RISE TO THE CLAIM. THESE LIMITATIONS DO NOT APPLY WHERE APPLICABLE LAW DOES NOT ALLOW THEM.

19. Indemnity for business misuse

To the extent permitted by law, if you use the Service on behalf of a business, you will defend and indemnify the Operator from third-party claims, losses, and reasonable costs arising from your unlawful use of the Service, your unlawful outreach, your Customer Data, your violation of another person’s rights, or your material breach of these Terms. This obligation does not apply to the extent a claim was caused by the Operator’s own breach or unlawful conduct.

20. Informal dispute resolution and applicable law

Before filing a legal claim, you and the Operator agree to try in good faith to resolve the dispute informally for at least 30 days after written notice to hello@frediq.xyz, unless immediate court relief is reasonably necessary.

Because FRED IQ has not identified a separate incorporated operating entity in these Terms, these Terms do not state a fictional corporate domicile or venue. They are governed by the law that applies to the Operator’s provision of the Service, without regard to conflict-of-law rules, except where mandatory law requires otherwise. If a formal operating entity and principal place of business are later designated, this section may be updated to identify a specific governing law and forum.

21. Changes to the Service or these Terms

We may update the Service and these Terms as FRED IQ evolves. Material changes will be posted with a new effective date and, where required, additional notice will be provided. If you continue using the Service after updated Terms take effect, you agree to the updated Terms, except where law requires affirmative consent.

General. If a provision is unenforceable, it will be modified only as needed and the rest remains effective. A failure to enforce is not a waiver. Neither party may assign these Terms except in connection with a permitted business reorganization or transfer, subject to applicable law. These Terms and any applicable order or signed agreement are the complete agreement regarding the Service.
